Direct answer
A trademark transfer is more than a private sale agreement: the parties need to identify the registered marks, agree the transaction, and follow China’s official transfer procedure.
Begin with the exact portfolio
A buyer should request the registration numbers, registered owner, approved marks and goods or services before drafting the commercial deal. The owner named in the register must be reconciled with the contracting seller. If the seller has changed its company name or address, the team should identify whether a separate recordal is needed. A “brand” may include several word marks, logos and Chinese names, not just the one mark mentioned in a headline agreement.
Check the statutory transfer steps
Article 42 of the 2019 Trademark Law provides that transferor and transferee sign an agreement and jointly apply to the trademark authority. It also addresses transfers of identical or similar marks on the same or similar goods and says a transfer likely to cause confusion or other adverse effects will not be approved. The revised 2026 law, scheduled to take effect on 1 January 2027, retains these central questions in Article 46. A private contract alone should not be described as a completed change of registered owner. The effective transfer and any special issue must be checked against the official decision and register.
Prepare the transaction file
Put the trademark schedule next to the legal-entity documents and identify who will control marketplace listings, packaging and existing licences after completion. Review whether related marks need to move together. Ask the responsible China professional to verify forms, signatures, translations and the case-specific filing route from current official instructions. Do not infer a processing period or approval from the fact that parties have signed. ## Questions to resolve before action
- Which registration numbers and goods or services are included?
- Does the register show the same owner as the seller?
- Are similar marks or Chinese versions held by the same owner?
- What happens to existing licences and enforcement matters?
